The South African Competition Court has approved the purchase of majority control of Coca-Cola Beverages Africa by Coca-Cola HBC. This deal will be conducted for an amount of $2.6 billion.

The South African Competition Court has approved the purchase of majority control of Coca-Cola Beverages Africa (CCBA) by Coca-Cola HBC under certain conditions. This deal, announced last October, has been conditioned to address various public interest considerations.

Details of the Deal Approval

In a statement released by the court, it was revealed that this approval followed hearings from companies and labor unions representing CCBA employees. A court spokesperson, in response to a request for more details about the conditions, stated: "The court panel is finalizing the confidentiality claims of the merging parties, and a copy of the court order and its conditions will be published on the court's website as soon as the process is finalized."

Financial Dimensions and Target Market

Coca-Cola HBC has agreed to purchase 75 percent of Coca-Cola Beverages Africa's shares valued at $2.6 billion from The Coca-Cola Company and the Gottsegen family investment. This company, listed on the London Stock Exchange, operates in Egypt and Nigeria and this deal allows it to enter 14 new markets in Africa, including Ethiopia, Kenya, and South Africa.

These companies are expected to jointly generate revenue of approximately €14.1 billion ($16.39 billion) and EBIT of around €1.4 billion in 2024. This merger could have a significant impact on the non-alcoholic beverage market in Africa, as these two companies will alone account for two-thirds of the Coca-Cola system's production volume in the region.

Currently, the remaining 25 percent of CCBA is under an agreement between Coca-Cola HBC and The Coca-Cola Company. This deal represents an important step in Coca-Cola HBC's expansion strategy in the African continent and strengthens the company's position in emerging markets.
